Terms of Service

These Terms are a legal agreement between you and Sidekick AI. By accessing or using Sidekick AI, you agree to these Terms and our Privacy Policy. If you use Sidekick AI on behalf of a company or organization, you represent that you have authority to bind that organization.

If you do not agree to these Terms, do not use Sidekick AI or connect third-party accounts to the service.

Sidekick AI provides AI-assisted business operations workflows. The service may help with approvals, email triage, document coordination, reminders, receipts, reports, website work, SEO checks, and connected-tool actions through messaging-first agents and integrations.

The service may change over time. Some features may be experimental, early access, invitation-only, disabled, or dependent on third-party providers.

• You must provide accurate account, business, contact, and onboarding information.
• You are responsible for maintaining control of your login, devices, messaging accounts, and connected third-party accounts.
• You may connect only accounts, workspaces, websites, projects, files, and services that you are authorized to access and use.
• You are responsible for all activity that occurs through your Sidekick account or assigned agent.

Sidekick AI depends on third-party services such as Google, Nango, Supabase, Telegram, Slack, Dropbox, Asana, Wix, Vercel, hosting providers, model providers, and other integrations you choose to connect. Those services are governed by their own terms and policies.

We are not responsible for third-party service outages, policy changes, account restrictions, data handling, pricing, API limits, or feature removals. Your ability to use a connected feature may end if you disconnect the provider, revoke access, lose provider permissions, or the provider changes its API.

Sidekick AI is designed around human review for important external actions. You are responsible for reviewing drafts, summaries, recommendations, website changes, email responses, review responses, file changes, and other outputs before relying on them or sending them externally.

Some routines may run automatically after you enable them, such as reminders, traffic reports, receipt processing, or scheduled check-ins. You remain responsible for configuring, monitoring, approving, and disabling routines that affect your business.

AI-generated outputs can be incomplete, inaccurate, delayed, outdated, or inappropriate for your specific situation. Sidekick AI does not provide legal, tax, accounting, medical, financial, compliance, or other professional advice.

You are responsible for decisions made using Sidekick AI and for independently verifying information before taking action.

You may not use Sidekick AI to:

• Break the law, violate third-party rights, or bypass provider terms, permissions, rate limits, or security controls.
• Send spam, phishing, malware, harassment, deceptive content, or unauthorized marketing messages.
• Access, process, disclose, or export data that you do not have permission to use.
• Upload or request processing of highly sensitive regulated data unless we have agreed in writing to support that use case.
• Reverse engineer, scrape, overload, interfere with, or attempt unauthorized access to Sidekick AI or connected systems.
• Use Sidekick AI to make credit, lending, housing, employment, insurance, or similarly high-impact eligibility decisions.

You retain ownership of content you provide to Sidekick AI and content retrieved from accounts you connect. You grant Sidekick AI a limited license to host, process, transmit, display, modify, and use that content as needed to provide, secure, support, and operate the service and user-facing features you use.

You are responsible for ensuring that your content is lawful, accurate, and authorized for use with Sidekick AI.

Paid plans, subscriptions, usage charges, custom onboarding, or dedicated infrastructure will be described at purchase, in an order form, or in a written agreement. Public early-access pricing may change for future purchases or renewals unless a separate written agreement says otherwise.

Unless otherwise stated in writing, fees are non-refundable except where required by law. You are responsible for taxes and any third-party charges associated with your connected services.

You may stop using Sidekick AI at any time. We may suspend or terminate access if we believe you violated these Terms, created security or legal risk, failed to pay amounts due, misused integrations, or used the service in a way that could harm Sidekick AI, users, providers, or the public.

After termination, we may retain or delete data according to our Privacy Policy, legal obligations, and backup practices.

Sidekick AI is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and reliability.

We do not guarantee that Sidekick AI will be uninterrupted, secure, error-free, compliant with every industry requirement, or approved by any third-party platform.

To the fullest extent permitted by law, Sidekick AI will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, reputational harm, or costs of substitute services.

To the fullest extent permitted by law, Sidekick AI's total liability for any claim relating to the service is limited to the greater of the amounts you paid to Sidekick AI for the service in the three months before the event giving rise to the claim or CAD $100.

You agree to defend, indemnify, and hold harmless Sidekick AI from claims, damages, losses, liabilities, costs, and expenses arising from your content, your connected accounts, your use of the service, your violation of these Terms, or your violation of law or third-party rights.

These Terms are governed by the laws of Ontario, Canada, without regard to conflict of law principles. The courts located in Ontario, Canada will have exclusive jurisdiction over disputes arising from or relating to these Terms or Sidekick AI, except where applicable law requires otherwise.

We may update these Terms from time to time. If changes are material, we will provide notice where required. Continued use of Sidekick AI after updated Terms become effective means you accept the updated Terms.
